Agreement to Terms

These Terms of Service (“Terms”) govern your use of the RankingMedic website and services. By accessing or using our website or services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our services.

Services Description

RankingMedic provides digital marketing services to healthcare practices, including but not limited to:

• Search engine optimization (SEO)
• Pay-per-click advertising management
• Google Business Profile management
• Reputation management
• Website design and development
• Marketing analytics and reporting

Client Obligations

As a client, you agree to:

• Provide accurate and complete information
• Grant necessary access to your website, accounts, and platforms
• Respond to requests for information in a timely manner
• Pay all fees as agreed in your service agreement
• Comply with all applicable laws and regulations
• Not use our services for any illegal or unauthorized purpose

Payment Terms

Payment terms are specified in your individual service agreement. Generally:

• Monthly services are billed on a recurring basis
• Setup fees are due upon signing
• Payment is due within 7 days of invoice date
• Late payments may result in service suspension
• You are responsible for all taxes and fees

Refunds are provided according to our guarantee terms when applicable.

Service Term and Termination

Minimum Term: Most services require a 3-month minimum commitment.

Month-to-Month: After the minimum term, services continue on a month-to-month basis.

Cancellation: Either party may terminate services with 30 days written notice after the minimum term.

Immediate Termination: We reserve the right to terminate services immediately if you breach these Terms or your service agreement.

Intellectual Property

Our Property: All RankingMedic branding, methodologies, and materials remain our property.

Your Property: You retain all rights to your practice branding, content, and materials.

Work Product: Upon full payment, you own content created specifically for you (website copy, graphics). We retain rights to reusable templates, strategies, and methodologies.

Confidentiality

Both parties agree to keep confidential information private and not disclose it to third parties without consent. This includes business strategies, patient information (if any), pricing, and proprietary methods.

Disclaimers and Limitations

No Guarantees: While we strive for excellence, we cannot guarantee specific rankings, traffic numbers, or patient volumes. Marketing results depend on many factors beyond our control.

Third-Party Platforms: We are not responsible for changes to third-party platforms (Google, Facebook, etc.) that may affect your campaigns.

Limitation of Liability: Our liability is limited to the amount you paid for services in the 3 months prior to any claim.

Indemnification

You agree to indemnify and hold RankingMedic harmless from any claims arising from your use of our services, your violation of these Terms, or your violation of any laws or third-party rights.

HIPAA Compliance

We understand the importance of HIPAA compliance. We do not access, collect, or store protected health information (PHI). All marketing activities are designed to comply with HIPAA regulations.

Dispute Resolution

Any disputes will first be addressed through good-faith negotiations. If unresolved, disputes will be settled through binding arbitration in accordance with the rules of the American Arbitration Association.

The prevailing party in any legal action shall be entitled to recover reasonable attorney fees and costs.

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify clients of material changes via email. Continued use of our services after changes constitutes acceptance of the new Terms.
